Probatum (the "Service" or the "Platform") is an on-premises, air-gapped AI workstation platform built for AmLaw and enterprise law firms. The Service comprises: (a) the marketing and buyer-facing site at probatum.foundation, (b) the on-site technical site visit and blueprint deliverable, (c) the hardware fleet (RTX 4090-based) as built, benchmarked, and delivered by Probatum, and (d) the accompanying annual software & support license. The Service is owned and operated by Developum AI Engine. By engaging Probatum you agree to these Terms of Service.
You must be a duly authorized representative of a law firm, corporate legal department, or other lawful enterprise buyer, at least 18 years old and capable of forming a binding contract, to engage Probatum. You are responsible for the accuracy of the firm and site information you provide and for maintaining the security of any account credentials issued to your team.
Engagement begins with a $10,000 non-refundable site-visit deposit, processed by Stripe. In exchange for that deposit you receive:
Rescheduling: The site visit may be rescheduled up to 24 hours before the meeting with no penalty. Cancellations or reschedules inside 24 hours forfeit the deposit; the deposit remains non-refundable.
Two platform tiers are offered:
The platform fee is payable per the fixed-price contract that follows the site visit. The annual license is a recurring twelve-month term, invoiced in advance, covering model updates delivered by USB, software patches, priority hardware support, and blueprint refreshes. Facility infrastructure — HVAC, electrical service, rack space, physical security — is contracted directly by the firm to third-party contractors, executed against Probatum's technical blueprint, and paid from the firm's capital-expenditure budget. Facility CapEx is not part of the Probatum fee and Probatum bears no liability for the firm's facility contractors, permits, or building-code compliance.
You take outright ownership of the hardware on install. Title transfers on Probatum's receipt of the platform-fee balance and physical delivery to your address. Probatum warrants the hardware against manufacturing defects for twelve (12) months from install date, exclusive of user-caused damage, environmental damage (power surges, flood, fire), and any modifications made without Probatum's written consent.
You retain all rights, title, and interest in any client-privileged material processed on the Probatum fleet. Probatum has no access to that material and claims no license to it.
Probatum retains all rights, title, and interest in the Probatum software, model weights, orchestration engine, technical blueprints (as authored templates), and the "Probatum" and "Developum AI Engine" trademarks. Your platform-fee purchase grants your firm a perpetual, non-exclusive, non-transferable license to run the delivered software on the delivered hardware, in-house, for your firm's own legal work. You may not sublicense, resell, or expose the software to third parties as a service.
Your use of the Service is governed by our Acceptable Use Policy. Material violations may result in suspension of the annual license, without refund of the current term.
The Probatum fleet runs large language and embedding models. These models can produce factual errors, miss nuance, fabricate citations, or generate output that does not satisfy regional regulatory, evidentiary, or professional-responsibility requirements. You are responsible for reviewing every output the fleet produces before filing, signing, publishing, or otherwise relying on it. Probatum does not provide legal, tax, or ethics advice — outputs are attorney work-product staging, not professional counsel, and every flag cites the source document to enable review as verification rather than re-reading.
The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or meet your specific case-strategy requirements. To the maximum extent permitted by law, Developum AI Engine and Probatum are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, profits, data, or goodwill, arising from your use of the Service.
Our total cumulative liability to you for any claim arising out of these Terms or the Service is limited to the amounts you paid Probatum in the twelve (12) months preceding the claim.
We may suspend or terminate the annual license, and the on-site support that accompanies it, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law, or if your use poses a risk to Probatum or its other customers. Hardware ownership is not revoked by termination.
We may update these Terms periodically. Material changes will be communicated to active-license buyers by email at least 30 days before they take effect. Continued use of the Service after that period constitutes acceptance.
These Terms are governed by the laws of the State of Illinois and the United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Cook County, Illinois.
